The present document constitutes the entirety of the general terms and conditions of use (the'GTC') of the services offered on and from the

1- www.kirotravel.com website,

2- the kirotravel software application published by KIRO SERVICES GROUP. The content of this document does not exclude the possibility of special conditions existing in other places. This document establishes a binding agreement between KIRO SERVICES GROUP S.A.S.U, operating under the trade name KIRO TRAVEL, and a User as defined in the following paragraphs, from another location. Users are strongly advised to carefully read these terms and conditions in their entirety before accessing the site, using the application or using any of the services provided. By accessing the site, using the application or using any of the services via the site, the application or by telephone, the User unequivocally accepts these terms and conditions. The User acknowledges having read and understood these Terms and Conditions in their entirety.

The Site is published by KIRO SERVICES GROUP SAS, a simplified joint stock company with capital of €4500. Its registered office is located at 107 rue du Nant - 01280 Prévessin-Moens. The purpose of the www.kirotravel.com website is to provide information concerning all of the company's activities. The site owner endeavors to provide information on the www.kirotravel.com site that is as accurate as possible. However, it cannot be held responsible for any omissions, inaccuracies or failure to update information, whether these are its own fault or that of third-party partners who provide it.

All information provided on the www.kirotravel.com website is indicative, non-exhaustive and subject to change. It is subject to modifications having been made since it was put online.

All users of the site and application are subject to the General Terms of Use (GTU), unless otherwise specified in the particular conditions. These GTU apply to all users without exception. To access KIROTRAVEL services, users must first read and accept the General Terms and Conditions (GTC) in their entirety. By checking the box provided for this purpose, the user indicates his full acceptance of the GCU. When a user account is created by telephone contact with KIROTRAVEL, the GTC are automatically accepted. Failure to comply with the GCU will result in the impossibility of continuing the booking process or creating a user account. Consequently, the finalization of the reservation process on the Site and/or via the Application or by Telephone implies express acceptance by the User of the present GCU. The User undertakes to be of legal age and to have full legal capacity to enter into a contract and to comply with the GCU.

KIROTRAVEL reserves the right to modify at any time, in whole or in part, the present GCU. Consequently, it is up to the User to regularly consult the latest version of the CGU, accessible at https://www.kirotravel.com/conditions-dutilisations. Each time the User connects to the site or application, or makes a new request by telephone, he/she is deemed to have accepted this latest version.

If the user does not respect the present GTU, KIROTRAVEL reserves the right to suspend or cancel the services, as well as to refuse access to the service, without prior notice.

In case of contradiction, the User acknowledges that the present General Conditions prevail over any general and/or particular conditions he may propose.

Creating a User Account Users are free to browse the Site and/or the Application. In order to take full advantage of the service's resources, Users may be required to create an account. Users may freely create a User Account, for which they will be asked to enter a certain amount of personal data or data relating to the identity of the legal entity, where applicable. Users are also asked to enter their credit card details. These details are not kept by the Company's service provider, except at the exclusive request of the User. Users undertake to ensure that the data thus communicated is accurate and up to date. KIROTRAVEL shall in no case be held responsible for any prejudice linked to the inaccuracy or obsolescence of data thus communicated by Users. As soon as the account is created, the User defines or is given an identifier and a password, which he may modify at any time, allowing him to access his personal User Account. KIROTRAVEL reserves the right to reinitialize the User Account Identifiers at any time to ensure their security. Users shall ensure that they use appropriate Identifiers and shall be solely responsible for the level of security of their Identifiers.

KIROTRAVEL shall in no event be held responsible for the consequences of fraudulent use of the User's Identifiers.

Identifiers are personal and confidential. The User is solely and entirely responsible for the use of his Identifiers and undertakes to do everything in his power to keep his Identifiers secret and not to divulge them to anyone in any form whatsoever. Any reservation made using the User's Identifiers will be deemed to have been made by the User. In the event of loss or theft of the User's Identifiers, the User is responsible for any harmful consequences of such loss or theft, and must use the procedure enabling him/her to modify them as soon as possible.

KIROTRAVEL reserves the right to use the information, other than personal data, communicated by the User such as the opinions of Users, etc.. Whatever the format, in various ways, including to publish it on the Site and / or in the Application, modify the format, incorporate it into advertising, communication media, or other documents, create derivative works thereof, enhance it, distribute it, and allow others to do the same on their websites and media platforms. Accordingly, the User hereby gives KIRO TRAVEL irrevocable consent to use such content for any purpose whatsoever, and waives all claims and assertions relating to moral or proprietary rights in such content.

User: Internet user connecting to and using the above-mentioned site: www.kirotravel.com. In France, personal data is notably protected by law no. 78-87 of January 6 1978, law no. 2004-801 of August 6 2004, article L. 226-13 of the French Penal Code and the European Directive of October 24 1995.

On the www.kirotravel.com website, the site owner only collects personal information relating to the user for the purposes of certain services offered by the www.kirotravel.com website. Users supply this information with full knowledge of the facts, particularly when they enter it themselves. Users of the www.kirotravel.com website are informed whether or not they are required to supply this information. In accordance with the provisions of articles 38 et seq. of the French Data Protection Act 78-17 of January 6, 1978, all users have the right to access, rectify, delete and oppose any personal data concerning them. No personal information concerning the user of the www.kirotravel.com website is published without the user's knowledge, nor is it exchanged, transferred, ceded or sold on any medium whatsoever to third parties. Only the assumption of the purchase of the site www.kirotravel.com from the owner of the site and its rights would allow the transmission of the said information to the eventual purchaser who would in turn be bound by the same obligation of conservation and modification of the data with respect to the user of the site www.kirotravel.com The site www.kirotravel.com is declared to the CNIL under the number No CNIL declaration as no personal data is collected.

KIROTRAVEL may terminate the User's registration without notice, but without limitation, in the following cases: - Non-compliance by the User with its obligations; - Failure to fund the bank account; Use of a false identity; Use of fraudulent bank card information; - Inappropriate behavior of the User and/or the main Passenger or his/her companions on board the Vehicles. Similarly, KIROTRAVEL reserves the right to suspend a User account without time limit in the event of suspicion of fraudulent use.

Reservation request The user may, via the Site and/or the Application, after logging into his User Account, or by Telephone, make a reservation request. The user must provide all the required information (including, but not limited to: date and time of pick-up, pick-up address, any intermediate stops, arrival address, type of Vehicle required and the main Passenger's details such as surname, first name, telephone number and email address). If the required fields are not completed, the Reservation Request cannot be processed. KIRO TRAVEL will use its best efforts to respond to the Reservation Request but cannot guarantee in advance the availability of a vehicle to satisfy the User's Reservation Request.

The customer (User) can choose between two pricing options ( fixed or flexible )

If the customer chooses the fixed rate, upon receipt of the Reservation Request and on the basis of the information transmitted by the User, KIROTRAVEL will send the User a reservation confirmation (subject to availability and to the User having communicated his destination address) and the details of the Reservation Request.

If the customer chooses the flexible fare, in this case the customer may enter an approximate price he/she wishes to pay for the requested trip. Upon receipt of the Reservation Request and based on the information provided by the User, KIRO TRAVEL will send the User a fare proposal similar to or higher than the fare initially indicated by the customer in his/her reservation.

For an 'immediate' Reservation Request (i.e. when the Reservation Request is made for a departure within 25 minutes of this request) and upon receipt of the Reservation Request and on the basis of the information transmitted by the User, KIROTRAVEL sends the User a reservation confirmation (subject to availability and to the User having communicated his destination address) and the details of the Reservation Request, as well as an estimate of the approach time of the Vehicle closest to the pick-up address.

After verification of the ,summary information on the Reservation Request, and subject to acceptance of KIROTRAVEL's pricing proposal, the User definitively validates his/her Reservation Request. Upon validation, the User receives confirmation of his/her Reservation by email. The passenger is immediately called or sent a notification (by Whatsapp and/or SMS and/or push message) within the framework of an immediate Reservation confirming the approach of the Driver or 5 mn before the pick-up time within the framework of an advance Reservation when the Reservation Request is made for a departure in more than 2 hours). The passenger must arrive at the agreed location at the agreed time.

KIRO TRAVEL or the Driver shall not be held liable in any way for any special information concerning Transport, such as the presence of bulky luggage (or other); the presence of an animal; the presence of a child - as defined below concerning the material requiring transport; etc. KIRO TRAVEL or the Chauffeur shall not be liable for any Specific Request(s) provided by the User, made by telephone or in the field provided for this purpose on the Web Site or the Application. For information purposes, this Specific Request will be sent to the Chauffeur. This does not constitute a commitment on the part of KIRO TRAVEL or the Driver. A Specific Request

For example

A particular make of car;

A favorite route;

A specific waiting time;

An on-board service not offered by KIRO TRAVEL;

which has not been approved in writing by KIRO TRAVEL cannot be guaranteed by KIRO TRAVEL

The rate proposed for each Reservation is determined in particular according to the following parameters : - the distance to be covered; - the itinerary (with regard to the time slot, the itinerary to be taken, the traffic forecast provided by google maps and other tools; - the type of Vehicle desired; - the Specific Requests requested by the User at the time of the Reservation and approved by KIRO TRAVEL - the specific packages; - the time and date of the Reservation Request; - the time and date of the customer's pick-up. The rate quoted for each Reservation Request made by telephone to KIRO TRAVEL may be increased. Any modification of the Reservation prior to the pick-up by the Driver may result in a modification of the tariff proposal made by KIRO TRAVEL, with regard to the criteria listed above in this same article, this modification having to be accepted in advance by the User. Any modification to the Reservation after the requested pick-up time (including waiting time during pick-up and/or during an intermediate stage, additional stages, change of pick-up address or destination, etc.) may automatically result in an increase in the fare initially proposed at the time of the Reservation. Promotional codes, sponsorship codes or credits may be applied as a deduction from the fare. Such codes are subject to specific restrictions of use, which may be freely modified by KIRO TRAVEL at its sole discretion.

Payment for Transport shall be made to KIRO TRAVEL's service provider by the User's credit card or by another means of payment in accordance with a contract signed in advance between KIRO TRAVEL and the business user. The price of the Reservation Request will be subject to bank authorization at the time of the Reservation Request. The User will be charged to the credit card selected at the time of the Reservation, when the invoice is sent. To this end, the User communicates his bank details in a totally secure manner to a KIRO TRAVEL service provider. In order to protect and encrypt credit card data, KIRO TRAVEL uses the technology of its service providers STRIPE AND SUMUP. Payments can be made directly to the Driver (by credit card or cash), or online.

KIRO TRAVEL reserves the right to cancel the User's credit card payment and replace it with a direct payment to the Driver.

Contractual payment terms Under the terms of the Contract between Kiro Travel and the Corporate User, the Corporate User has the following options, in addition to the payment methods specified above. The Corporate User may transfer funds to KIRO TRAVEL upon receipt of invoice.

Once the journey has been completed, KIRO TRAVEL shall send the Business User an invoice by e-mail to the address registered by the Business User at the time of the creation of the Business User's Account (or at the time of the modification of the User's Account data), on behalf of the Driver, detailing the price and other characteristics of the Reservation for which the invoice has been issued, as well as, if applicable, any other sums still owing to KIRO TRAVEL and to the Drivers, e.g. cancellation fees, no-show fees, waiting fees, etc... Depending on the KIRO TRAVEL service chosen, the Corporate User may receive an invoice summary which supplements the individual invoice sent to the User. In the event of late payment or non-payment for any reason whatsoever, the amounts due by the Corporate User will automatically be increased by a flat-rate charge of 10% of the amount including VAT. In the event of a payment rejection after invoicing or in the event of an opposition to Payment, KIRO TRAVEL reserves the right to charge the User for the bank charges incurred, up to a maximum of €25 excluding VAT of the amount including VAT. Invoices which are not contested in writing by the User within 30 calendar days of their date of dispatch shall be deemed to have been accepted by the User and may no longer be contested by the User. The User's contestation of an invoice in no way justifies a delay in payment of said invoice.

Article 14 - Modification

Any modification to a Reservation automatically results in its cancellation and the creation of a new Reservation. In accordance with these GCU, any late modification may be subject to a cancellation fee charged to the User.

Cancellation Prior to the pick-up of the principal Passenger by the Driver, the User may freely cancel his/her Reservation via the Site, the Application or by Telephone. Any late cancellation may be subject to a cancellation fee charged to the User. Cancellation charges will also apply if the User fails to arrive at the address and pick-up time indicated in the Reservation.

a)Any Reservation may be freely cancelled by the User, without charge, at least 1 hour before the pick-up time of the principal Passenger, or when the cancellation occurs less than 5 minutes after the Reservation.

b) Any cancellation of a Reservation made less than 1 hour before the main Passenger's pick-up time will incur cancellation charges payable by the User in accordance with the following schedule.

The User undertakes to ensure that the main Passenger arrives at the pick-up location indicated at the time of Reservation, at the agreed time. In the event of a waiting time in excess of 5 minutes (excluding airports / STATION), KIRO TRAVEL reserves the right to charge the User an additional fee in accordance with the provisions of this article. The Passenger is informed of the arrival of the Driver at the pick-up location by sending a notification (by Whatsapp or SMS or push message). The waiting period starts either at the time of the Transport, or at the time of the Driver's arrival if this takes place after the time of the Transport. If the waiting period exceeds 15 minutes, the Driver and KIRO TRAVEL will be released from all obligations under the Reservation and the Driver may freely leave the pick-up location. In this event, the User will be deemed to have cancelled the Reservation, and cancellation fees will be invoiced in accordance with Article At the request of the principal Passenger and in agreement with the Driver, the latter may, at his discretion, extend the waiting time and continue to invoice the waiting fees. No request (notably by way of example: email, SMS to the Driver, telephone call, etc.) may exempt the User from paying the waiting charges detailed in this article.

The User undertakes to ensure that the main Passenger arrives at the pick-up location indicated at the time of Reservation, at the agreed time. In the event of a waiting time in excess of 5 minutes (excluding airports / STATION), KIRO TRAVEL reserves the right to charge the User an additional fee in accordance with the provisions of this article. Information provided

The User undertakes to provide accurate and truthful information, in particular concerning his/her title, surname, first name, date of birth, e-mail address and telephone number, the Passenger's name and telephone number, or his/her company name and RCS number, where applicable, necessary for proper identification, with a view to opening a User Account or a Corporate User Account.

Presentation at the point of acceptance of a Reservation

The User undertakes to ensure that the principal Passenger arrives at the pick-up location indicated on the Reservation, at the time indicated on the Reservation. The User agrees to be billed cancellation fees (defined in article 3.4.3) in the event of the main Passenger failing to show up.

In the event of immobilization of the vehicle during the trip due to mechanical failure, accident or damage (theft, deterioration), KIRO TRAVEL will endeavor to ensure the continuity of the trip, either with one of its vehicles, or with a replacement vehicle that may be made available.

The Services offered by KIRO TRAVEL consist of a search for an available Driver corresponding to the Reservation Request. KIRO TRAVEL is thus bound by a simple obligation of means to find an available Vehicle for the User in accordance with the Reservation Request. KIRO TRAVEL acts as a reservation center via the Site or the Application, or by Telephone. Transport is therefore governed by the contract between the User/Principal Passenger and the Driver. In the event of poor performance or non-performance of the transportation service, the User may contact KIRO TRAVEL by e-mail at contact@kirolimo.fr. In the event of a Reservation Request, KIRO TRAVEL does not guarantee that a Driver will be available at the time requested, nor for the route requested by the User. In this case, the Reservation Request will be rejected without KIRO TRAVEL being held liable. Estimates of waiting times or journey times provided by KIRO TRAVEL to the User are purely indicative, in particular on the basis of information provided by the traffic prediction tool used by KIRO TRAVEL. These estimates are not contractual and neither KIRO TRAVEL nor the Driver may be held liable for them. In any event, KIRO TRAVEL's liability is limited to the price of the Reservation. KIRO TRAVEL shall not be held liable for any cancellation costs resulting from the User's failure to anticipate the cancellation (examples of such cancellation costs include, but are not limited to, delays requested by airlines/railways which have not been taken into account by the User at the time of the Reservation Request).

Any damage caused to the interior of the vehicle or to the vehicle will be charged to the reserving customer (user) or to the company/corporation, if the latter agrees to bear the costs of the damage.

In the event of damage to the Vehicle caused by the Customer, KIRO TRAVEL shall charge the Customer, on behalf of KIRO TRAVEL or on behalf of the Driver, a flat-rate fee of €100 (inc. VAT) for the repair of the Vehicle in the event of soiling, or the cost of repairing or restoring the Vehicle on the basis of receipts submitted by the Driver or by KIRO TRAVEL, in the event of damage. The User hereby authorizes KIRO TRAVEL to debit the User's credit card for the cost of repairing or cleaning the Vehicle, up to a maximum of €100 including VAT, in the event that the User does not respond to a request initiated by KIRO TRAVEL following damage to the Vehicle observed by the Driver.

KIRO TRAVEL's liability is limited to the clauses of our insurance contract.

Our vehicles as well as the vehicles of our employees (professional drivers) are insured for the transport of people and our passengers for all bodily injuries with our insurer. This insurance covers professional civil liability, in accordance with French regulations, in application of article L. 3120-4 of the Transport Code.

The user or company is free to take out additional insurance, at its own expense, to cover cancellation costs, repatriation costs and baggage transport, without this list being limitative.

KIRO TRAVEL undertakes to check that the Drivers and Vehicles comply with current regulations governing the operation of chauffeur-driven tourist vehicles. KIRO TRAVEL shall carry out this verification annually with the Drivers, but shall not be held responsible for any changes in the situation that have not been brought to its attention.

The vehicle and the driver shall be provided with the necessary on-board documents.

The user(s) is/are required to comply with the regulations applicable to persons and their luggage both in France and in the countries crossed.

In accordance with the law in force in all public places, it is strictly forbidden to smoke on board our vehicles.

Similarly, it is forbidden to consume alcoholic beverages, drugs or narcotics on board the vehicle.

Seatbelts must be worn by all passengers, including back-seat passengers.

As the driver is responsible for the period during which the service is provided, he is instructed to respect and ensure respect for the laws in force.

Under no circumstances may the customer require the driver to exceed the authorized speed limit or to commit traffic violations.

The User undertakes to limit the weight and total volume of the Passenger's luggage to that which is compatible with the Vehicle used (at the discretion of the Driver), in accordance with KIRO TRAVEL's recommendations.

KIRO TRAVEL reserves the right to interrupt the service in progress if the driver notices that the customer is committing any offence whatsoever, or if the behavior of the customer(s) jeopardizes the safety of the driver or the vehicle, or if the customer(s) shows incivility towards the driver, insults or insults the driver.

In all cases, the agreed service will be due in full.

The www.kirotravel.com site contains a number of hypertext links to other sites (partners, information, etc.) set up with the authorization of the site owner. However, the site owner has no way of verifying the content of sites visited in this way, and therefore declines all responsibility for any risks of illicit content.

Users are informed that when they visit the www.kirotravel.com website, one or more cookies may be automatically installed on their computer. KIRO TRAVEL provides these links only as a convenience, and a link does not imply that KIRO TRAVEL sponsors, recommends or is affiliated with the linked site. The linked sites are owned and operated by independent retailers or service providers and, as such, KIRO TRAVEL cannot guarantee that the User will be satisfied with their products, services or business practices. It is the User's responsibility to make any and all verifications that he/she deems necessary or appropriate before proceeding with any transaction with any of these third parties.

In the event that any part of these General Terms and Conditions of Business is missing, illegal, unenforceable or unenforceable in any way whatsoever, the remaining provisions of these General Terms and Conditions of Business shall remain in full force and effect.

KIRO TRAVEL may, if necessary, create a new clause incorporating the wishes expressed in the initial clause, in accordance with the laws in force relating to these GTCU. The titles of the articles are only suggestive and should not be considered as part of the GTCU.

Except as otherwise provided in these Terms and Conditions, any forbearance, inaction, waiver or omission or delay on the part of KIRO TRAVEL in exercising any right under these Terms and Conditions shall not affect such right nor constitute a waiver for the future on the part of KIRO TRAVEL. Take advantage of this right. Accordingly, the foregoing rights shall continue in full force and effect.

KIRO TRAVEL informs all Users that they may lodge a complaint or objection concerning illegal elements or content present on the Site and/or the Application. If the User considers that elements or contents placed on the Site and/or the Application are illegal and/or infringe the copyright of which he is the owner, the User must immediately send a notification to KIRO TRAVEL via a registered letter containing all the elements justifying the ownership of the above-mentioned rights, if applicable. Once this procedure has been followed and the accuracy of the notification has been verified, KIRO TRAVEL will endeavour to remove the illegal content as quickly as possible. Please note that KIRO TRAVEL is not responsible for content (such as user comments, etc.) that appears on the site and/or application, is published by a third party, and/or may be modified by a third party.

The interpretation, validity, application and execution of these terms and conditions are governed by French law. If the present terms and conditions are formulated or translated into several languages, only the French version shall be deemed authentic.

In accordance with the requirements of the French Consumer Code concerning the peaceful resolution of disputes, a mediator may be retained to attempt to find a beneficial outcome to a dispute which has not been resolved following his prior actions. user towards Marcel. Any dispute concerning the validity, interpretation or application of the present terms and conditions shall be subject to the exclusive jurisdiction of the courts of the relevant court of appeal.
